  4. The Contracts (Rights of Third Parties) Ordinance shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.
  5. If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.
  6. Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.
  7. This Agreement shall be governed by and interpreted according to Hong Kong law. All disputes arising under the Agreement (including non-contractual disputes or claims) shall abide to the jurisdiction on Hong Kong.

    1. DRAGON GATEWAY IS NOT DEALING IN SECURITIES. DRAGON GATEWAY IS NOT DEALING IN FUTURES CONTRACTS. DRAGON GATEWAY IS NOT LEVERAGING FOREIGN EXCHANGE TRADING. DRAGON GATEWAY IS NOT ADVISING ON SECURITIES. DRAGON GATEWAY IS NOT ADVISING ON FUTURES CONTRACTS. DRAGON GATEWAY IS NOT ADVISING ON CORPORATE FINANCE. DRAGON GATEWAY IS NOT PROVIDING AUTOMATED TRADING SERVICES. DRAGON GATEWAY IS NOT PROVIDING SECURITIES MARGIN FINANCING. DRAGON GATEWAY IS NOT PROVIDING SERVICES RELATED TO ASSET MANAGEMENT. DRAGON GATEWAY IS NOT PROVIDING CREDIT RATING SERVICES.
     
    GENERAL TERMS

    YOU HEREBY REPRESENTS, WARRANTS, ACKNOWLEDGES AND AGREES THAT:

    1. You understand that Dragon Gateway is not a fundraising or trading platform, Dragon Gateway is not dealing securities, Dragon Gateway is not giving financial advice, Dragon Gateway is not a broker-dealer or advisor for dealings related to cryptocurrencies. No information on the Website and the “Dragon Gateway” platform (“Platform”) can ever be deemed legal, financial or business advice; as such you understands that it cannot rely on information transmitted through Dragon Gateway or its affiliates when investing in other projects or making business decisions. You understand that Dragon Gateway is operating an introducer Platform, and the sole purpose of this Platform is to create a better and safer environment for connecting with venture capital entities.
    2. You  agree that neither Dragon Gateway nor any affiliate thereof shall have liability whatsoever to you due to or in connection with your use or non-disclosure of the Information or otherwise as a result of the transaction contemplated hereby, and you hereby irrevocably waives any claim that it might have based on the failure of Dragon Gateway to disclose the Information. Without limiting the generality of the foregoing, you agree that it shall not commence or pursue any litigation and hereby waives all claims against Dragon Gateway and its affiliates based in whole or in part on any knowledge or information held by Dragon Gateway or its affiliates, including, without limitation, any claims for breach of fiduciary duties;

THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS ON POTENTIAL DAMAGES WERE AN ESSENTIAL ELEMENT IN SETTING CONSIDERATION UNDER THIS AGREEMENT.
